By accessing or using BeMaestro ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 16 years old and have the legal capacity to enter into these Terms.

2. Description of Service

BeMaestro is an AI-powered project management platform that provides:

• Project tracking and task management
• AI-powered signal analysis and drift detection
• Document generation and templates
• Team collaboration features
• Integration with third-party services

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payment

4.1 Free Tier

We offer a free tier with limited features. Free accounts are subject to usage limits as described on our pricing page.

4.2 Paid Subscriptions

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method for the subscription fee.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods unless required by law.

4.4 Price Changes

We may change subscription prices with 30 days' notice. Price changes take effect at the start of your next billing period.

5. User Content

5.1 Your Content

You retain ownership of all content you submit to the Service ("User Content"). By submitting User Content, you grant us a limited license to use, store, and process that content solely to provide the Service.

5.2 Content Restrictions

You agree not to submit content that:

• Is unlawful, harmful, threatening, abusive, or harassing
• Infringes on intellectual property rights of others
• Contains viruses or malicious code
• Violates any applicable laws or regulations
• Contains sensitive personal data without proper authorization

5.3 AI Processing

User Content may be processed by AI systems to provide features like signal analysis and document generation. We do not use User Content to train our AI models. Enterprise customers may use private LLM infrastructure for additional data control.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer or decompile any part of the Service
• Use automated systems to access the Service without permission
• Share account credentials or allow unauthorized access
• Exceed usage limits or abuse Service resources
• Resell or redistribute the Service without authorization

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by BeMaestro and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

8. Third-Party Services

The Service may integrate with third-party services (e.g., email providers, payment processors). Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the content, privacy practices, or actions of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT

We do not warrant that the Service will be uninterrupted, secure, or error-free. AI features provide suggestions and should not be relied upon as the sole basis for business decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BeMaestro SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Cost of substitute services
• Damages arising from reliance on AI-generated content

Our total liability shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless BeMaestro and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will cease immediately. You may export your data before termination. We may delete your data after a reasonable retention period following termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
